DISTANCE SALES AGREEMENT

1. PARTIES

This Distance Sales Agreement (“Agreement”) is entered into electronically between the SELLER identified below and the BUYER purchasing digital products through the SELLER's website.

By accepting this Agreement electronically, the BUYER acknowledges, declares, and agrees that they are responsible for paying the purchase price of the digital product(s), together with any additional charges expressly stated during checkout.

2. DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

• LAW: Turkish Law No. 6502 on the Protection of Consumers.

• REGULATION: The Turkish Regulation on Distance Contracts.

• SELLER: The natural or legal person offering goods or services to consumers within the scope of their commercial or professional activities.

• BUYER: A natural or legal person acquiring, using, or benefiting from goods or services for purposes that are not commercial or professional.

• WEBSITE: The website operated by the SELLER at moongradestudio.com.

• DIGITAL PRODUCT: Digital content provided electronically, including but not limited to LUT files, PowerGrades, DCTLs, presets, digital files, color-grading tools, software components, educational materials, and similar digital products.

• ORDER: A transaction made by the BUYER through the WEBSITE for the purchase of one or more DIGITAL PRODUCTS.

• PARTIES: The SELLER and the BUYER.

• AGREEMENT: This Distance Sales Agreement entered into electronically between the SELLER and the BUYER.

3. SUBJECT OF THE AGREEMENT

This Agreement governs the rights and obligations of the PARTIES concerning the sale of DIGITAL PRODUCTS purchased electronically by the BUYER through the SELLER's WEBSITE.

The main characteristics, intended use, compatible software or systems, technical requirements, if applicable, and sales price of the DIGITAL PRODUCTS offered by the SELLER are specified on the relevant product page of the WEBSITE.

Before completing a purchase, the BUYER has the opportunity to review and obtain information regarding the main characteristics of the product, its price, and other applicable purchase conditions.

Order-related communications and information regarding the delivery of DIGITAL PRODUCTS may be sent to the email address provided by the BUYER during checkout.

6. INFORMATION ABOUT THE DIGITAL PRODUCTS

6.1. Product

The name, contents, main characteristics, compatible software or formats, applicable license terms, and sales price of each DIGITAL PRODUCT are specified on the relevant product page at the time of purchase.

DIGITAL PRODUCTS may include LUT files, PowerGrades, DCTLs, presets, digital color-grading tools, and other digital content expressly described on the WEBSITE.

6.2. Price

The current sales prices of DIGITAL PRODUCTS are displayed on the relevant product page and during the checkout process.

Unless otherwise expressly stated, the price displayed at the time the BUYER completes the ORDER shall be the applicable purchase price.

Any applicable taxes included in the purchase price shall be displayed during the checkout process.

6.3. Payment

The BUYER shall pay the purchase price using one of the payment methods made available on the WEBSITE.

Following successful completion of the payment, the DIGITAL PRODUCT shall be made available to the BUYER through the delivery method specified on the WEBSITE.

7. DELIVERY OF DIGITAL PRODUCTS

7.1.

The DIGITAL PRODUCTS covered by this Agreement are not physical goods and are delivered electronically.

7.2.

Following successful completion of payment, access to the DIGITAL PRODUCT and/or a download link may be provided through the WEBSITE or sent to the email address provided by the BUYER during checkout.

7.3.

If the DIGITAL PRODUCT cannot be delivered electronically immediately, the SELLER shall provide the necessary access or download information to the email address provided by the BUYER within a reasonable period.

7.4.

If the BUYER provides an incorrect or inaccessible email address, the delivery email is directed to a spam or similar folder, or the BUYER is unable to access the DIGITAL PRODUCT due to issues with their own device, internet connection, software, or other technical circumstances beyond the SELLER's reasonable control, this shall not be considered a failure by the SELLER to deliver the DIGITAL PRODUCT.

In such cases, the BUYER may contact the SELLER at hello@moongradestudio.com.

8. USE AND LICENSE OF DIGITAL PRODUCTS

8.1.

The purchased DIGITAL PRODUCT may be used by the BUYER in accordance with the license terms specified on the relevant product page or provided with the DIGITAL PRODUCT.

8.2.

The BUYER may not resell, redistribute, share, rent, sublicense, or otherwise make the purchased DIGITAL PRODUCT available to third parties without the SELLER's express authorization.

8.3.

The purchase of a DIGITAL PRODUCT does not constitute a transfer of intellectual property rights to the BUYER.

All copyright and other intellectual property rights relating to the files, designs, software, color profiles, graphics, documentation, and other content comprising the DIGITAL PRODUCT remain with the SELLER or the respective rights holders.

8.4.

Where specific license terms apply to a particular DIGITAL PRODUCT, those terms shall apply in addition to this Agreement and shall be available on the relevant product page or provided with the DIGITAL PRODUCT.

9. BUYER'S OBLIGATIONS

The BUYER agrees, declares, and undertakes to:

a) Carefully review the product and purchase information provided on the WEBSITE;

b) Ensure that all information provided during checkout is accurate and up to date;

c) Use the purchased DIGITAL PRODUCT only within the scope of the applicable usage and license terms;

d) Not share the DIGITAL PRODUCT with unauthorized persons;

e) Fulfill all payment obligations in a timely manner.

10. RIGHT OF WITHDRAWAL

10.1.

Under Turkish Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts, consumers generally have a fourteen (14) day right of withdrawal in distance contracts.

10.2.

However, the Regulation on Distance Contracts provides exceptions to the right of withdrawal for contracts concerning services performed instantly in an electronic environment and intangible goods delivered instantly to the consumer.

10.3.

Accordingly, where a DIGITAL PRODUCT is delivered or made available electronically immediately after payment with the BUYER's express consent, the right of withdrawal may not apply to such DIGITAL PRODUCT to the extent permitted by applicable law.

10.4.

The BUYER acknowledges that, before completing the ORDER, they have been informed that the DIGITAL PRODUCT will be delivered electronically and that the transaction may fall within an applicable exception to the statutory right of withdrawal.

10.5.

The circumstances in which the right of withdrawal may or may not be exercised shall be determined in accordance with applicable laws and regulations.

11. REFUNDS

Where a DIGITAL PRODUCT falls within an applicable statutory exception to the right of withdrawal, the BUYER may not request a refund solely because they are dissatisfied with the DIGITAL PRODUCT.

However, if the DIGITAL PRODUCT is not technically delivered, the download or access link does not function, or the DIGITAL PRODUCT materially differs from its main characteristics as described on the WEBSITE, the BUYER may contact the SELLER at hello@moongradestudio.com.

The SELLER shall evaluate such requests based on the circumstances of the individual case and applicable laws and regulations.

12. SELLER'S OBLIGATIONS

The SELLER agrees and undertakes to:

a) Provide DIGITAL PRODUCTS in accordance with their main characteristics as described on the WEBSITE;

b) Take reasonable technical measures to facilitate secure ordering and payment;

c) Provide the BUYER with the information required in connection with the ORDER electronically;

d) Fulfill its obligations arising under applicable consumer protection laws and regulations.

13. INTELLECTUAL PROPERTY RIGHTS

Unless expressly stated otherwise, all copyright, trademark, design rights, and other intellectual property rights relating to the WEBSITE and its contents, including text, images, graphics, logos, designs, videos, software, DIGITAL PRODUCTS, and other materials, belong to the SELLER or the respective rights holders.

The purchase of a DIGITAL PRODUCT does not constitute a transfer of any intellectual property rights to the BUYER.

14. PERSONAL DATA

Personal data provided by the BUYER during the ordering process shall be processed in accordance with applicable data protection and privacy legislation.

Further information regarding the processing of personal data is available in the Privacy Policy and/or applicable KVKK Information Notice published on the WEBSITE.

15. DISPUTE RESOLUTION

Any disputes arising from or in connection with this Agreement shall be governed by the applicable consumer protection legislation.

For consumer disputes, applications may be made to the relevant Consumer Arbitration Committees and/or Consumer Courts in accordance with the applicable monetary thresholds, jurisdictional rules, and other requirements under Turkish law.

16. EFFECTIVENESS

By completing an ORDER and successfully making the payment through the WEBSITE, the BUYER acknowledges that they have read and accepted the terms of this Agreement as presented electronically and that the necessary means are available for them to receive or access a copy of the Agreement.

This Agreement shall become effective on the date on which the BUYER electronically accepts the Agreement and the payment is successfully completed.
